XperPrint, LLC (“XperPrint,” “we,” “us”) is a Texas-registered limited liability company providing managed print services (MPS), including printer and copier sales, service, supply management, and related software tools.
The Services are intended for commercial and public-sector customers and their authorized representatives. You represent that you are at least 18 years old and authorized to act on behalf of the organization for which you are using the Services.
You agree not to:
XperPrint’s SMS program is opt-in only. Consent is collected separately, through an unchecked checkbox in the SMS Notifications panel of the Secure Portal at portal.xperprint.com. SMS consent is not part of, or required by, these Terms, any service agreement, or any purchase. See our SMS Terms at https://portal.xperprint.com/sms-terms. Message frequency varies (typically 0–10 messages per month). Message and data rates may apply. Reply STOP to unsubscribe, HELP for help, and START to resubscribe. Fees for services, equipment, parts, and supplies are set forth in your signed service agreement or individual order. Invoices are due per the payment terms stated on each invoice. Late amounts may accrue interest at the maximum rate allowed by Texas law. XperPrint may suspend Services for accounts in material default.
Each party agrees to keep the other’s confidential business information — including pricing, service records, network configuration details, and meter/usage data — confidential and to use it only for the purpose of performing under these Terms or a service agreement.
The Services, including the portal software, website content, and the XperPrint name and marks, are owned by XperPrint and protected by law. Nothing in these Terms transfers any ownership to you. You may use the Services solely for their intended purpose during the term of your service agreement.
XperPrint provides the Services on a commercially reasonable-efforts basis. Except as expressly stated in a signed service agreement, the Services are provided “as is” without warranty of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. XperPrint does not warrant that the Services will be uninterrupted or error-free.
To the maximum extent permitted by law, XperPrint’s aggregate liability under these Terms or any related service agreement is limited to the amount you paid XperPrint for the applicable Service during the twelve (12) months immediately preceding the event giving rise to the claim. XperPrint is not liable for any indirect, incidental, consequential, special, or punitive damages (including loss of profits, business interruption, or loss of data).
You agree to defend, indemnify, and hold XperPrint harmless from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your misuse of the Services or breach of these Terms.
Either party may terminate these Terms (and your access to the Services) by written notice. XperPrint may terminate or suspend immediately if you materially breach these Terms, fail to pay, or engage in prohibited conduct. Termination does not relieve you of obligations accrued before termination.
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute arising out of these Terms will be brought exclusively in the state or federal courts located in the State of Texas, and the parties consent to personal jurisdiction in those courts.
We may update these Terms from time to time. The “Last updated” date at the top reflects the most recent revision. Continued use of the Services after a revision constitutes acceptance of the updated Terms.
